TIZANI TERMS OF SERVICE

1. Acceptance of These Terms

1.1 Agreement to the Terms

These Terms of Service (the "Terms") form a binding agreement between you and Tizani LLC, a California limited liability company ("Tizani"). The Terms govern your access to and use of the Tizani application and related websites, features, and services (together, the "Service"). Your Privacy Policy and any community guidelines or additional terms presented within a feature are part of this agreement and are incorporated by reference.

1.2 Electronic Assent

You accept these Terms when you create an account, check a box or click a button indicating that you agree, or access or use the Service. If you do not agree, do not create an account or use the Service.

1.3 Changes to the Terms

Tizani may update these Terms. Tizani will post the revised Terms with a new "Last Updated" date and, when the law requires it, give added notice or request your agreement. Your continued use of the Service after the changes take effect means you accept the revised Terms.

2. Eligibility and Age Requirement

The Service is available only to users who are 16 years of age or older. You may not create an account or use the Service if you are under 16. By using the Service, you represent that you are at least 16.

If you learn that a person under 16 has created an account, report it to support@tizaniapp.com. Tizani will investigate reports of underage accounts and will delete an underage user's account and personal information as required.

3. Accounts and Account Security

3.1 Registration

To use most features, you register an account with an email address and a username. You agree to give accurate, current, and complete information and to keep it updated.

3.2 Credentials

You are responsible for keeping your password confidential and for all activity under your account. Notify Tizani right away of any unauthorized use of your account or any other breach of security. Tizani is not liable for loss arising from your failure to protect your credentials.

3.3 Profile Content

Your account may include a username and a profile picture that other users can see. Do not use a username or profile picture that infringes another person's rights or violates the conduct rules below.

4. Permitted Use and Prohibited Conduct

You may use the Service for lawful, personal, non-commercial purposes, subject to these Terms. You agree not to:

post or transmit content that is unlawful, threatening, abusive, defamatory, obscene, or that harasses or bullies another person

post or share any content that sexually exploits or endangers a minor, which Tizani removes and reports as the law requires

post content that infringes another person's copyright, trademark, privacy, publicity, or other rights

impersonate any person or entity or misrepresent your affiliation with a person or entity

upload viruses or other harmful code, or interfere with or disrupt the Service or its servers and networks

attempt to gain unauthorized access to the Service, other accounts, or connected systems

collect other users' personal information from the Service, including for marketing

use the Service to advertise or solicit others to buy or sell products or services without Tizani's written approval

use automated means to access, scrape, or harvest content or data except as the Service expressly permits

manipulate or attempt to manipulate ratings, reviews, rankings, or other platform metrics, including through review bombing, coordinated activity, multiple accounts, or other deceptive or artificial means

5. User Content

5.1 Your Content

The Service lets you post comments, create threads, and upload documents, images, and videos (together, "User Content"). You are responsible for your User Content and for the consequences of posting it.

5.2 Ownership

You keep all ownership rights in your User Content. These Terms do not transfer ownership of your User Content to Tizani.

5.3 License You Grant to Tizani

You grant Tizani a non-exclusive, royalty-free, worldwide license to host, store, reproduce, adapt for technical formatting, display, distribute, and perform your User Content through and within the Service, and to moderate, promote within the Service, and operate and improve the Service.

The license lasts as long as your User Content stays on the Service. It ends within a reasonable time after you or Tizani removes the User Content, except for copies retained in routine backups or where the law requires retention.

5.4 Your Representations

For each item of User Content, you represent that you own it or have the rights and permissions needed to post it and to grant the license above, and that the User Content does not violate any third party's copyright, trademark, privacy, publicity, or other rights.

5.5 Private Communications

The conduct rules in Section 4 apply to every part of the Service where you can communicate with other users.

6. Content Moderation, Reporting, and Removal

Tizani may review, moderate, refuse to post, remove, or restrict User Content that violates these Terms or the community guidelines, and may suspend or terminate accounts for violations. Tizani is not required to monitor User Content but may do so.

You can report User Content that violates these Terms by using the in-app Report feature or by emailing support@tizaniapp.com. Tizani will review reports and take the action it considers appropriate.

6.1 Community Guidelines

Your use of the Service is also governed by Tizani's community guidelines, which are incorporated into these Terms. The community guidelines give detail on acceptable conduct and content on the Service.

7. Tizani Intellectual Property

The Service and its content, features, software, text, graphics, and logos, other than User Content, are owned by Tizani or its licensors and are protected by intellectual property laws. Subject to these Terms, Tizani grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from the Service except as these Terms allow.

8. Copyright Complaints

Tizani respects the intellectual property rights of others and responds to notices of claimed copyright infringement under the Tizani DMCA and Copyright Policy, which is part of these Terms. That policy describes how to send a notice to Tizani's designated agent, how a user whose content is removed can respond, and Tizani's policy of terminating repeat infringers in appropriate circumstances.

9. Subscriptions, Billing, and Cancellation

9.1 Subscription Terms

The Service may offer paid subscriptions. The price is either $14.99 for Tizani Plus or $44.99 for Tizani Pro, billed every year. The price is also either $1.99 for Tizani Plus or $4.99 for Tizani Pro, billed every month. Any free trial or promotional period runs for one month and then ends unless a subscription plan is bought.

9.2 Automatic Renewal

Your subscription renews automatically at the end of each billing period, and Tizani charges your payment method for the renewal, until you cancel. Before you subscribe, Tizani presents the renewal terms, the recurring charge, and the cancellation method, and you give affirmative consent to those terms.

9.3 Cancellation

You may cancel your subscription at any time. Because you can subscribe online, you can cancel online through Apple subscription settings at https://apps.apple.com/account/subscriptions or through iOS Settings > [your name] > Subscriptions without steps that obstruct or delay the cancellation. Cancellation stops the next renewal charge and takes effect at the end of the current billing period.

9.4 Reminder and Change Notices

Where the law requires it, Tizani will send a reminder before a trial or promotional period converts to a paid subscription, an annual reminder for qualifying subscriptions, and advance notice of a price change or a material change to the subscription terms, with information on how to cancel.

9.5 Refunds

Refunds, if any, are governed by the refund rule stated at purchase. Except where the law requires a refund, subscription fees are non-refundable once charged.

10. Third-Party Services and App Stores

The Service may rely on third-party services and may be distributed through app stores. Your use of an app store is subject to that store's terms, and your purchases made through an app store may be governed by the store's billing and refund rules. Tizani is not responsible for third-party services or for the acts or omissions of app-store operators.

11. Service Changes and Availability

Tizani may change, suspend, or discontinue any part of the Service at any time. Tizani does not guarantee that the Service will always be available or uninterrupted, and may set limits on features or storage.

12. Termination

You may stop using the Service and close your account at any time. Tizani may suspend or terminate your access to all or part of the Service, with or without notice, if you violate these Terms or the community guidelines, or to protect the Service or other users. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, survive.

13. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TIZANI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT USER CONTENT POSTED BY OTHERS IS ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TIZANI AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TIZANI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TIZANI IN THE PREVIOUS 12 MONTHS BEFORE THE CLAIM OR $100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold Tizani and its officers, members, employees, and agents harmless from any claims, damages, and reasonable legal costs arising from your User Content, your use of the Service, your violation of these Terms, or your violation of another person's rights. This obligation is limited to conduct within your control.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before starting an arbitration or small claims action, you agree to contact Tizani and try to resolve the dispute informally for at least 30 days after written notice.

16.2 Binding Arbitration

Except as stated below, any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its consumer arbitration rules, seated in Los Angeles County, California. You and Tizani waive the right to a jury trial and agree not to bring claims as a class.

16.3 Small Claims and Public Injunctive Relief

Either party may bring an individual claim in small claims court. Nothing in these Terms waives your right to seek public injunctive relief, and you may pursue that relief in a court of competent jurisdiction. If a claim for public injunctive relief is brought, that claim proceeds in court while the remaining claims proceed in arbitration.

16.4 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except where federal arbitration law applies to the arbitration provision.

17. General

17.1 Notices

Tizani may give you notice through the Service or by email to the address on your account. You can reach Tizani at support@tizaniapp.com.

17.2 Assignment

You may not assign these Terms without Tizani's written consent. Tizani may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

17.3 Severability and Waiver

If any provision of these Terms is held unenforceable, the rest stay in effect. Tizani's failure to enforce a provision is not a waiver of it.

17.4 Entire Agreement

These Terms, the Privacy Policy, the Cookie Policy, the Community Guidelines, the DMCA and Copyright Policy, the End User License Agreement, and any additional terms presented within the Service are the entire agreement between you and Tizani about the Service.
