TIZANI END USER LICENSE AGREEMENT

This End User License Agreement (the "Agreement") is a binding contract between you and Tizani LLC, a California limited liability company ("Tizani"), and governs your download, installation, and use of the Tizani mobile and desktop application and any updates and related documentation (the "Application").
You agree to this Agreement when you download, install, or use the Application. The Tizani Terms of Service and Privacy Policy also govern your use of the Application and are part of your agreement with Tizani. If a conflict exists between this Agreement and the Terms of Service on the license to use the Application, this Agreement controls on that point.
1. License Grant
Tizani grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use one copy of the Application on a device that you own or control, for your personal, non-commercial use, subject to this Agreement, the Terms of Service, and the usage rules of the app store you download it from.
2. License Restrictions
You may not, and may not let anyone else:
copy, sell, rent, lease, lend, distribute, host, or sublicense the Application.
reverse engineer, decompile, or disassemble the Application, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law.
modify, adapt, translate, or create derivative works of the Application.
remove or alter any proprietary notices in the Application.
circumvent, disable, or interfere with security or license-control features of the Application.
use the Application in violation of any law or the rules of the app store or platform you use.
3. Ownership
The Application is licensed, not sold. Tizani and its licensors keep all right, title, and interest in the Application, including all intellectual property rights. Tizani reserves all rights not expressly granted to you in this Agreement. This Agreement does not give you any rights in Tizani's trademarks or logos.
4. App Stores and Platform Terms
You obtain the Application through a third-party app store or platform, and your use is also subject to that store's terms and usage rules. This Section applies to the extent an app store requires it.
4.1 Agreement With Tizani Only
This Agreement is between you and Tizani only, and not with any app store. Tizani, not the app store, is responsible for the Application and its content.
4.2 Maintenance and Support
Tizani is solely responsible for any maintenance and support for the Application to the extent it offers any. The app store has no obligation to provide maintenance or support. Support requests for the Application may be sent to support@tizaniapp.com.
4.3 Warranty
Tizani is solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If the Application fails to conform to any applicable warranty, you may notify the app store, and the store may refund the purchase price, if any. Beyond that refund, the app store has no warranty obligation for the Application.
4.4 Claims
Tizani, not the app store, is responsible for addressing any claims from you or a third party relating to the Application or your use of it, including product-liability claims, claims that the Application fails to meet a legal requirement, and claims under consumer-protection or privacy law.
4.5 Intellectual Property Claims
If a third party claims that the Application or your use of it infringes that party's intellectual property rights, Tizani, not the app store, is responsible for the investigation, defense, settlement, and discharge of the claim.
4.6 Third-Party Beneficiary
Apple Inc. and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance, Apple has the right to enforce this Agreement against you as a third-party beneficiary. Other app-store operators that require equivalent status hold the same right.
5. Third-Party and Open-Source Components
The Application may include third-party or open-source software components that carry their own license terms. Those terms are made available with the Application or on request, and they govern your use of the relevant components. Where an open-source license conflicts with this Agreement on a given component, the open-source license controls for that component.
6. Updates
Tizani may provide updates, upgrades, or new versions of the Application. This Agreement governs any update Tizani provides unless the update comes with its own terms. Tizani may change, suspend, or discontinue the Application or any feature at any time.
7. User Content and Conduct
Your posting of content through the Application and your conduct while using it are governed by the Terms of Service and the Community Guidelines, including the rules on ownership of your content, the license you grant to Tizani, and prohibited conduct. Those documents are incorporated into this Agreement by reference.
8. Privacy
Tizani's collection and use of information through the Application are described in the Privacy Policy and the Cookie Policy, which are incorporated into this Agreement by reference.
9. Term and Termination
This Agreement stays in effect until terminated. Your license ends automatically if you breach this Agreement. Tizani may suspend or terminate your license consistent with the Terms of Service. You may end this Agreement by deleting the Application and stopping all use. On termination, you must stop using the Application and delete all copies. Sections 3, 5, and 10 through 13 survive termination.
10. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TIZANI DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TIZANI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO THE APPLICATION. TIZANI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APPLICATION WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TIZANI FOR THE APPLICATION IN THE 12 MONTHS BEFORE THE CLAIM OR $100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
12. Legal and Export Compliance
You represent that you are not located in a country subject to a United States government embargo or designated as supporting terrorism, and that you are not on any United States government list of prohibited or restricted parties. You agree to comply with all applicable export and trade-control laws in your use of the Application.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from or relating to this Agreement is subject to the dispute resolution and arbitration provisions of the Terms of Service, including the preservation of your right to seek public injunctive relief and the small claims option.
14. General
14.1 Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, Cookie Policy, Community Guidelines, and DMCA and Copyright Policy, is the entire agreement between you and Tizani about the Application, and replaces any prior agreement on that subject.
14.2 Severability
If any provision of this Agreement is held unenforceable, that provision is enforced to the maximum extent permitted, and the remaining provisions stay in full effect.
14.3 No Waiver
Tizani's failure to enforce any provision of this Agreement is not a waiver of its right to do so later.
14.4 Assignment
You may not assign or transfer this Agreement or your license without Tizani's written consent. Tizani may assign this Agreement to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.
14.5 Amendment
Tizani may update this Agreement. Tizani will post the revised Agreement with a new date, and your continued use of the Application after the changes take effect means you accept the revised Agreement.
